Terms & Conditions

These Terms govern your use of the Reyaco.com website and the Reyaco Groceries and apps (the "Site") and your relationship with Reyaco online store (Reyaco, we or us). Please read them carefully as they affect your rights and liabilities under the law. If you do not agree to these Terms please do not use the Site. Please note that to buy any products on the Site, you are required to register as an authorised user and additional Terms and Conditions will apply.

 

1.    Use of and access to the site

1.1.   The Site is provided to you free of charge for your personal use subject to these Terms.

1.2.   From time to time it will be necessary for Us to carry out maintenance on the Site which may result in occasional periods of downtime.

1.3.   We can't promise that the Site will be uninterrupted or error-free or that defects in the Site will be corrected.

1.4.   You can use the Site to browse and buy goods and services from Us and to manage your account with Us but not for any other purpose.

1.5.   You must not use Your REYACO email/username and password combination to access the Site, or any part of the Site, including Your shopping list or favourite items, from anyone else's site. That is because access to the Site by commercial organisations, whether or not acting on behalf of Our customers, is strictly prohibited.

1.6.   By using the Site you agree to be bound by these Terms. All orders and purchases made on the Site will also be governed by the relevant Product Terms below:

2.    Amendments

2.1.   We may update these Terms from time to time and any changes will be notified to you via the e-mail address provided by you on registration or via a suitable announcement on the Site. The changes will apply to the use of the Site after we have given notice. If you do not wish to accept the new Terms you should not continue to use the Site and the Online Stores. If you continue to use the Site after the date on which the change comes into effect, your use of the Site indicates your agreement to be bound by the new Terms.

3.    Becoming a customer

3.1.   To place an order on Our Site You must be over 18 years of age, require Delivery in Our Delivery area or a Collection in Our collection catchment area and have a credit or debit card acceptable to Us in Your name.

3.2.   When You register You will create a username and password which You must use whenever You shop with Us. You must treat Your username and password as confidential and must not disclose it to any third party. Please keep this information in a safe place because You will be responsible for all activities and orders made under Your password and username. If You think that someone else may either know or be using Your username and password, please contact Us immediately.

3.3.   We reserve the right to decline a new customer registration or to suspend or disable Your Account at any time and at Our sole discretion.

 

4.    Price

4.1.   The price of the item(s) You order will be the price on the Site at the time You place Your order or amend Your order. If a new price or promotion is in place after You have placed Your order for example, a multi-buy offer or price reduction which may be advertised on the packaging of goods you have ordered, these prices and promotions will not be applied to Your order.

4.2.   We give You the choice of ordering certain items such as fruit and vegetables either by weight or by quantity. As it is difficult to select loose items such as these to an exact weight, if You order these items by weight We'll charge You for the actual weight picked - and We always try and get as near as possible to the weight You ordered. Loose items are priced by weight in store, meaning that if You order by quantity and the items picked in store have a higher than average weight, You may be charged more than the guide price given online at time of order. If the items in store have a lower than average weight, You may be charged less than the guide price given online at time of order.

4.3.   In addition to the price you will also be charged:-

4.3.1. Delivery slot or a Collection slot charge; and

4.3.2. If the total price of Your items for Delivery is £39.99 or less; or Collection is £24.99 or less then You will be charged an additional £3 (the “Minimum Basket Charge”).

4.3.3. All charges, with the exception of single use carrier bag charges, will be displayed in the ‘Your Trolley’ section on the Site. The total price of Your items excludes delivery, collection and carrier bag charges.

4.3.4. We will debit the total value of Your checked out order once it has been Delivered or Collected. However, if there are differences between Your checked out order and the contents of Your Delivered or Collected order, an adjustment will need to be made to the amount debited from Your debit or credit card. In the event the total value of goods Delivered is less than the checked out order amount (for example if an item was unavailable and removed from Your order or due to price changes in accordance with above), You will be refunded the difference. In the event the total value of goods delivered is more than the checked out order amount (for example if the price of weighted items differs from the amount specified in Your order in accordance with above) or due to price changes in accordance with above) You may see a separate charge on Your credit or debit card statement.

4.3.5. All prices quoted are inclusive of any Value Added or other tax

 

5.    Damaged Products

5.1.   When Your items are delivered please check that the order is not damaged. In the event that Your order is visibly damaged, please Let Us know as soon as possible by calling us on +44 203 637 9337. You can also request a refund within 2 days of Delivery or Collection. Refunds are subject to checks in accordance with our returns criteria (at 5.2 below) and processing.

5.2.   If you discover that an item is damaged or faulty or in any way does not meet Our usual high standards, please do not continue to use your item(s) and please retain the original packaging where possible. You are responsible for the goods from Delivery or Collection and You must store the goods in the manner appropriate to the type of goods (e.g. keep chilled items chilled, frozen item frozen etc.) as We require them to be returned and they must be returned to Us in the same condition as they were Delivered to, or Collected by, You. The returns policy for damaged or faulty items is set out below:

5.2.1. Returns policy for items which are not liable to deteriorate, or expire rapidly - If You return an item(s) which is damaged or faulty, mis-described or parts are missing straightaway or within 10 days of delivery or collection you may request either a full refund, a price reduction, or replacement or repair of the item(s). If You discover the item(s) is damaged, faulty, mis-described or parts are missing after 10 days from delivery or collection, You may return the item(s) and request either a repair or replacement. If the repair or replacement provided by Us is not satisfactory, You can then request either a refund or price reduction. Please note that sometimes it will not be possible for Us to provide a replacement or repair for an item (e.g. because the product/parts no longer exist). In these circumstances REYACO will offer You a refund or price reduction.

5.2.2. Returns policy for items which are liable to deteriorate, or expire rapidly - If You are not happy with the quality of any item(s), We will happily offer you a replacement item(s) or refund the money paid for the item(s) if You let Us know before the expiry of the "use by" or "best before" date indicated on the item(s) or, where an item is loose and does not specify a "use by" or "best before" date, within 3 days after You received Your order. You must store the item(s) in the manner appropriate to the type of goods (e.g. keep chilled goods chilled) as We may require them to be returned and they must be returned to Us in the same condition they were Delivered to, or Collected by, You. Note that sometimes it will not be possible for Us to provide a replacement for an item (e.g. because the item no longer exists). In these circumstances We will offer you a refund for the item only.

5.2.3. We take great care to source Our fresh produce from sustainable and ethical sources, supporting growers when seasonality and availability permit. This involves produce being sourced when it is in season from countries around the world. Consequently You may receive the same product from a number of different countries throughout the year. You will be able to see the country of origin on the pack at the point of Delivery or Collection, or alternatively You can ring Your local store and ask for the country of origin of any item of produce. If the country of origin of Our produce does not meet Your expectations We will happily refund the money if you let Us know within 3 days after You received Your order. You must store the goods in the manner appropriate to the type of goods (e.g. keep chilled items chilled) as We may require them to be returned and they must be returned to Us in the same condition they were Delivered to, or Collected by, You.

5.3.   If You are entitled to return goods or cancel Your order under this clause 3.4 and We have already debited Your card, We will reimburse any sum received from You including the cost of the standard delivery charge if applicable, in respect of such goods by crediting the card You paid with. We shall not refund the difference between the standard delivery charge and any premium delivery charge you have selected when ordering the goods. Please note that We shall not be responsible for any return costs for goods returned unless they are faulty, or otherwise permitted by these terms. Refunds can take up to 20 days to appear in your bank or credit card account. This may depend on which bank you use and where it is located. We will make any refunds within 14 days of receiving the goods back or if we are collecting the goods from you, within 14 days of receiving your notification to us that You wish to return the goods.

 

6.    Delivery

6.1.   We always aim to Deliver Your goods within the Delivery slot We have agreed with You, but We cannot accept liability if We Deliver the goods outside of this slot or don't Deliver all or any of the goods in Your order. Instances where it may not be possible to deliver Your order may include (but not limited to):

·         where the driver believes it is unsafe or impractical to approach the property

·         where the driver believes it is unsafe to deliver due to an uncontrolled/dangerous dog

·         where the driver cannot deliver to the property due to bad weather

 

6.2  Ownership of, and risk in, the goods will pass to You once Your order has been Delivered. Read all information on the product label carefully including any accepted substituted products. If the delivery address stated on Your order is not the address where You live We will not be liable for any damage or detriment to the goods caused by their onward delivery to You.

6.3  We can only Deliver to an address stored in Your address book in the Your Account section of Our Site. We can only make a Delivery to an address within Our delivery area.

6.4  Our commitment is to deliver Your order to Your front door and offer to take it into Your home. There may be circumstances where this may not be possible, In these circumstances the driver may ask to meet you in another location, as close as possible to your front door. If You are unable to meet the driver in another location then Your delivery may not be completed. You will not be charged if We are unable to successfully deliver Your Goods.

6.5  It is your responsibility to ensure that the person accepting delivery is over 18 and can demonstrate this to us if challenged. If we are not satisfied that the person accepting delivery is over the age of 18, then we may not hand over your delivery. If there is no one at the Delivery address who is 18 years of age or over, we'll notify You of Our visit and will return the goods to Our store. We'll then contact You to arrange re-Delivery at a convenient time. You may have to pay another Delivery charge for this.

6.6   If we attempt to deliver your order and you are not at the address you have stipulated on the agreed day and time we will charge you for any additional delivery that we need to make for that order.

7.    Collecting Your Goods

7.1 We always aim for You to be able to Collect Your order within the Collection slot We have agreed with You, but We cannot accept liability if We provide the goods for Collection outside of this slot or do not provide all or any of the goods in Your Collection order.

7.2 Ownership of, and risk in, the goods will pass to You once You have (or the person You have requested to Collect on Your behalf has) Collected Your order.

7.3 We can only allow Collection of orders from the REYACO warehouse address stated in Your order (and that address must be within our collection catchment area). Your address (as stated in Your address book in the Your Account section of Our Site) must also be within Our collection catchment area

7.4 for security reasons, Our Collection colleague will ask You (or the person You have requested to Collect on Your behalf) a security question at the point of Collection of Your order.

7.5 If there is no one to collect Your order at the Collection point who is 18 years of age or over, We will notify You and return the goods to Our store. We'll then contact You to re-arrange Collection at a convenient time. You may have to pay another Collection charge for this. Customers who are lucky enough not to look 25 or over, will be asked by Our Collection colleague to provide proof of age to show that they are 18 or over. Orders can only be Collected by persons over 18 years of age to ensure that We comply with laws regarding the sale of age-restricted goods e.g. alcohol.

8.    What We are Not Liable For

8.1 Whilst We take every care to Deliver Your order or provide Your order for Collection (as applicable), We cannot be liable for any indirect or consequential loss or damage or loss of profits or reliance You had in having the goods Delivered to You or having the goods available for Collection from Us, arising out of Our supply or failure to supply the goods to You.

8.2 Nothing in this Agreement shall in any way limit Our liability for death or personal injury resulting from Our breach of contract, tort or negligence nor limit any legal rights You have as a consumer.

8.3 The goods are sold to You on the basis that You are a consumer therefore We will not be liable for any special losses that You might suffer using, re-distributing or reselling the goods as part of a business.

8.4 With the exception of faulty goods or returns, We shall not be liable for goods once they have been Delivered to the delivery address, or Collected from us at the collection address, stated in Your order and if You ask a third party to move, transport or deliver the goods to any other address following Our Delivery or Your Collection, We shall not be liable for anything that that third party might do to the goods.

 

 

9.     Loyalty Card

9.1   When you register for an account to shop on the Site, a Loyalty card account will be automatically opened for you, unless you already have one. By registering for an account on the Site, you agree to be bound by the loyalty card terms and conditions.

9.2   Bonus coupons received with the quarterly loyalty card mailing or handed out, and product or discount coupons issued by manufacturers or promoters cannot be redeemed against purchases from the Site.

10.   Standard eCoupon terms and conditions

10.1 Using eCoupons

10.1.1   eCoupons can only be used online at www.REYACO.com subject to these general terms and conditions, and any other specific conditions notified to you on the issue of an eCoupon. No eCoupon is redeemable through any website owned or operated by Maison Vie Limited (the company") other than reyaco.com.

10.1.2   An eCoupon is redeemed by entering its code at the appropriate point in the online purchase process. Redemption may be subject to you providing proof of entitlement to use the eCoupon.

10.1.3   Your use of an eCoupon indicates your agreement to be bound by these eCoupon Terms and Conditions.

10.2 Distribution of eCoupons

10.2.1   eCoupons are, and remain at all times, the property of REYACO.

10.2.2   The right to use an eCoupon is personal to the original recipient and may not be transferred. No eCoupon may be copied, reproduced, distributed, or published directly or indirectly in any form or by any means for use by an entity other than the original recipient, or stored in a data retrieval system, without the prior written permission of REYACO.

10.2.3   eCoupons distributed or circulated without the written approval of REYACO, for example on an Internet message board or on a "bargains" website, are not valid for use and may be refused or cancelled.

10.3 Permitted usage of eCoupons

10.3.1   Unless expressly stated otherwise at the time of issue of the eCoupon;

·         Each issued eCoupon will be valid for use by a recipient only once,

·         Only one eCoupon will be valid for use per customer or household, as the case may be, and,

·         An eCoupon may not be used in conjunction with any other special offer or eCoupon.

10.4 Excluded goods and services

10.4.1   Certain goods or services are excluded from all eCoupon offers. These include purchases from REYACO Outlet eBay or Amazon store. From time to time other goods or services may be excluded and any such further exclusion will be notified to you along with the eCoupon or through the Reyaco.com website.

10.4.2   eCoupons may be limited to redemption in respect of certain products or services or certain products or services may be excluded from the ambit of use of the eCoupon, in which case notice will be given to you at the time of issue of the eCoupon.

10.4.3   Excluded goods and services will not count towards any qualifying conditions for offers and will not benefit from any promotional discount.

10.5 Minimum spend requirements

10.5.1   Where the redemption of an eCoupon is subject to a minimum spending requirement, the redemption is only permitted in respect of the purchase of qualifying products which will be communicated to you at the time of issue of the eCoupon. Excluded products and supplementary charges, such as delivery, gift wrap or postage & packing, shall not count towards a minimum spending requirement.

10.5.2   If more than one minimum spend offer is valid for use in an order, there must be sufficient qualifying spend to meet the requirements of each offer in total. For example, to use a £3 off £30 eCoupon and a £5 off £50 eCoupon in the same transaction (assuming that these eCoupons can be used together), you must spend at least £80.

10.6 Calculation of discount

10.6.1   Where an online offer states that a percentage discount will be given on a purchase, the cost of the qualifying purchases will be reduced by the stated discount percentage.

10.6.2   Where purchases are stated to be offered on a "VAT-free" basis, the prices of qualifying items will be reduced by the equivalent of VAT. At the current VAT rate of 20% this equates to a discount of 16.67%.

10.6.3   Supplementary charges such as delivery or postage & packing shall not be discounted unless specifically stated in the offer description.

10.7 Security and Fraud

10.7.1   When you use an eCoupon you warrant to REYACO that you are the duly authorised recipient of the eCoupon and that you are using it in good faith.

10.7.2   If you redeem, attempt to redeem or encourage the redemption of eCoupons to obtain discounts to which you or a third party are not entitled you may be committing a civil or criminal offence.

10.7.3   If we reasonably believe that any eCoupon is being used unlawfully or illegally we may reject or cancel any eCoupon and you agree that you will have no claim against us in respect of any rejection or cancellation. REYACO reserves the right to take any further action it deems appropriate in such instances.

10.8 Limitation of Liability

10.8.1   At all times our acceptance of an order takes place on despatch of the order, at which point the purchase contract will be made and you will be charged for your order.

10.8.2   All offers are subject to availability and while stocks last.

10.8.3   REYACO shall not be liable to any customer or household for any financial loss arising out of the refusal, cancellation or withdrawal of any eCoupon or any failure or inability of a customer or household to use an e-Coupon for any reason.

10.9 Miscellaneous

10.9.1   We reserve the right to vary or terminate the operation of any eCoupon at any time without notice.

10.9.2   The failure of REYACO to take any action in respect of a breach of these terms and conditions shall not constitute a waiver of their enforceablility. REYACO reserves its rights in respect of these terms and conditions at all times.

10.10       Colleague Coupons

10.10.1        From time to time, we may issue coupons specifically to be used by REYACO colleagues. We reserve the right to vary or terminate the operation of any colleague coupon or eCoupon at any time without notice.

11.   Intellectual Property

11.1 The content of the Site is protected by copyright, trade marks, database and other intellectual property rights. No licence is granted to you in these Terms to use any trade mark of REYACO.COM or its affiliated companies.

12.   Ratings and Reviews

12.1 By submitting any content to the Site you agree that:

·         You are the sole author of and are personally responsible for any content you submit (e.g. a written review) and you own any intellectual property rights that relate to it;

·         all 'moral rights' that you may have in such content have been voluntarily waived by you; and

·         We may contact you at the e-mail address attached to your account to request a review or to notify you about the status of your review.

12.2 You agree that you won't submit anything that:

·         is false, inaccurate, or misleading;

·         you have been paid or rewarded for, if such compensation influenced the content of your review in any way;

·         has been copied from anyone else, or infringes on any third party’s copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;

·         violates any law or is considered to be offensive e.g. threatening, libellous or racially or religiously biased;

·         includes references to other websites or any contact information (e.g. email addresses or phone numbers); or

·         contains any computer viruses, worms or other potentially damaging computer programs or files.

12.3 Ratings and written reviews will generally be posted within two to four business days. Reyaco reserves the right to remove or to refuse to post any submission for any reason.

13.   Reyaco social media community rules

·         We encourage comments on Reyaco related subjects in an intelligent and constructive manner. We reflect a wide range of interests for the benefit of all of our users.

·         Treat others as you would like to be treated. Be polite, even if you disagree. Abusive language, aggression and bullying are not allowed (whether aimed at users, individuals, Reyaco or other companies). Distressing content is also banned.

·         We will try to help you with any queries, but to respect your privacy we cannot ask for personal contact details on this page. It may be necessary to ask you to contact us via Private Message/Direct Message.

·         To safeguard the privacy of individuals any postings including information that may identify individual's offline will be removed.

·         Repeated duplicate postings (spam) by the same user or groups will be removed as they clutter up discussions for other users.

·         Comments subject to legal issues (slander, defamation, contempt of court) or publicising / encouraging / endorsing illegal activity will be removed.

·         Content with overt religious or political bias intended to incite others will be removed. Aggressive lobbying that disrupts the community for other Reyaco users will be removed.

·         Impersonating brands or other users or featuring licensed or copyright material is not allowed.

·         Content containing unverified or false claims about products will be removed.

·         Finally, Reyaco retains the right to remove content posted on social media or block users from posting to any Reyaco page for any other reason deemed necessary to create a helpful community.

14.   Availability of the site

14.1 Although Reyaco aims to offer you the best service possible, Reyaco makes no promise that the services at the Site will meet your requirements. Reyaco cannot guarantee that the service will be fault free. If a fault occurs in the service you should report it to the Customer Services (see below for contact details) or by email at online@reyaco.com and we will attempt to correct the fault as soon as we reasonably can.

14.2 Your access to the Site may be occasionally restricted to allow for repairs, maintenance or the introduction of new facilities or services. Reyaco will attempt to restore the service as soon as it reasonably can.

14.3 Reyaco’s right to suspend or cancel your registration

14.4 Reyaco may suspend or cancel your registration immediately at our reasonable discretion or if you breach any of your obligations under these Terms.

14.5 The suspension or cancellation of your registration and your right to use the Site shall not affect either party's rights or liabilities.

15.   Reyaco’s Liability

15.1 The content on the Site is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on the Site.

15.2 Although we make reasonable efforts to update the information on the Site, we make no representations, warranties or guarantees, whether express or implied, that the content on the Site is accurate, complete or up to date.

15.3 Nothing in this paragraph applies to Reyaco's liability in respect of products sold through the Online Stores.

16.   Third party websites

16.1 As a convenience to Reyaco customers, the Site includes links to other websites or material which are beyond its control. Reyaco is not responsible in any way for content outside the Site.

17.   Applicable Law

These terms of sale are subject to English law and the exclusive jurisdiction of the English courts.International Use

Reyaco makes no promise that materials on the Site are appropriate or available for use in locations outside the United Kingdom.

18.    Miscellaneous

18.1   You may not assign, sub-license or otherwise transfer any of your rights under these Terms.

18.2   If any provision of these Terms is found to be invalid by any court having competent jurisdiction, the invalidity of that provision will not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.

18.3   If you breach these Terms and Reyaco ignores this, Reyaco will still be entitled to use its rights and remedies at a later date or in any other situation where you breach the Terms.

18.4   Nothing in these Terms shall exclude Reyaco's liability for fraudulent misrepresentation or personal injury or death caused by its negligence.

19.    Using our diet and lifestyle search function

19.1   Our food preference search function has been designed to help you match relevant products on our grocery website and app to specific dietary or lifestyle food and drink needs.

19.2   Food products are frequently reformulated, ingredients may change and manufacturers’ data may be incorrect or incomplete. That’s why we’re constantly reviewing and updating the filters.

19.3    Reyaco Free From products are produced under controlled conditions to ensure their product claims are valid and not misleading, making them the ideal fit for a diet with specific needs.

19.4    The search results displayed will contain products from both the Reyaco Free From range as well as other products that have been identified as not containing a specified allergen as an ingredient.

19.5    Bear in mind that other products and filters have been collated by reviewing their ingredients list and any ‘may contain’ labelling, so while they won’t contain a specified allergen, they may not have been produced under controlled conditions. That means we can’t guarantee they’re suitable for a specific dietary need.

19.6    Our search function is all about saving you time and identifying potentially suitable food but shouldn’t be used as an alternative to medical advice and carrying out your own checks. We recommend that you don’t just rely on information provided on any list and always check product labels.

20.   Specific Products ( Filter definition )

Gluten Free

Discover products which are free from gluten or do not have gluten-containing ingredients. We recommend that it shouldn’t be used as an alternative to medical advice and you do your own checks on product information.

Vegetarian

These products are free from all animal products or animal by-products, with the exception of eggs, milk products and honey. They’re also free from all products or by-products of the fishing industry. We recommend that you don’t rely solely on this information and that you always check product labels.

Vegan

These products do not contain any ingredients from animals including eggs, milk, honey or fishery products. Some products listed are not suitable for milk or egg allergy sufferers because milk and/or egg are present in the environment where the products are made. Customers with these allergies should always check the product information online and on the product label.

Low fat

These products contain 3g or less of total fat per 100g, or 1.5g or less of total fat per 100ml for liquids. This is based on the "traffic light" food labelling system developed by the Food Standards Agency and the Department of Health.

Halal

These products don’t contain any alcohol or pork. In addition, products containing meat will not appear on the list unless labelled as Halal by the manufacturer.

No lactose

Everything here is lactose-free or doesn’t have lactose listed within the ingredients. We recommend that you don’t just rely on this information and always check product labels. It shouldn’t be used as an alternative to medical advice and your own checks.

Organic

This filter produces a list of products which are labelled by the manufacturer as ‘organic’. We recommend that you do not rely solely on this information and that you always check product labels.

Low sugar

These products all contain 5g or less of total sugar per 100g, or 2.5g or less per 100ml for liquids. This is based on the "traffic light" food labelling system as developed by the Food Standards Agency and the Department of Health.

Sugar-free

Products are considered sugar-free if they contain 0.5g or less of total sugar per 100g or 100ml. The value used to define sugar-free is based upon the approved nutrition claim for sugar-free in the EU Nutrition & Health Claims Regulation legislation (EC) No 1924/2006.

Low salt

This filter produces a list of products containing 0.3g or less of salt per 100g, based on the "traffic light" food labelling system as developed by the Food Standards Agency and the Department of Health.

Low calorie

Products are considered as low calorie if they contain 40kcal or less per 100g for solid foods or 20kcal or less per 100ml for liquids. The value used to define low calorie is based upon the approved nutrition claim for low energy in the EU Nutrition & Health Claims Regulation legislation (EC) No 1924/2006.

No egg

These products contain no egg or do not have egg as an ingredient. Please don’t just rely on this information and always check product labels. It shouldn’t be used as an alternative to medical advice and your own checks.

No milk

This is a list of products which are free from milk or do not have milk as an ingredient. Please don’t just rely on this information and always check product labels. It shouldn’t be used as an alternative to medical advice and your own checks.

No soya

These products do not contain soya or do not have soya as an ingredient, such as soya, soya flour, whole soybeans, edamame, soya sauce, soya oil (including cold-pressed and refined), and soya lecithin. You hereby grant to Reyaco and where applicable any Reyaco subcontractor or representative  a worldwide, perpetual, irrevocable, nonexclusive, royalty free, fully-paid up, transferable right and license, with the right to sublicense (through multiple tiers) in respect of all of your intellectual property and other rights in the Content to copy, make derivative works of, distribute, transmit, publicly perform, publicly display, modify or adapt the Content, in whole or in part, for any and all purposes, in any manner, using any Media.

You acknowledge that Reyaco owns or is the licensee to all right, title and interest in and to this App, including all rights under patent, copyright, trademark and all other proprietary rights including all applications, renewals, extensions and restorations thereof, granted by and under any and all applicable laws.

You warrant that you will not modify, adapt, translate, prepare derivative works from, decompile, reverse-engineer, disassemble, or otherwise attempt to derive source code from the App.
